Service Provider Terms and Conditions

Last updated: October 2026

These Terms govern the relationship between Bridge and Ladder Synergy Solution Ltd (“BridgeX”) and each Service Provider admitted to the BridgeX marketplace. The Service Provider remains an independent contractor and the supplier of the underlying service. Nothing in these Terms creates employment, partnership, agency, franchise or joint venture.

Verification, marketplace governance and complaint handling do not transfer responsibility for the Provider Service from the Service Provider to BridgeX.

Electronic Acceptance

By selecting “I Agree”, “Accept”, “Continue”, completing provider onboarding, or otherwise using the provider functions of BridgeX after these Terms are presented to you, you confirm that you have read, understood and agreed to these Terms and that you have authority to bind the person or business on whose behalf you act.

1. Parties and Scope

1.1 These Service Provider Terms (“Provider Terms”) are between Bridge and Ladder Synergy Solution Ltd (“BridgeX”) and the person or entity approved to offer services through the Platform (“Provider”). 1.2 The Platform Terms of Use, Privacy Notice, Verification and KYC Policy, Cancellation and Refund Policy, Complaints and Dispute Resolution Policy, Community and Review Guidelines and Copyright/Takedown Policy also apply to the Provider where relevant. These Provider Terms prevail in relation to provider-specific matters.

2. Eligibility, Authority and Onboarding

2.1 The Provider represents that it has full legal capacity and authority to enter into these Terms and, where acting for a company or business, that the individual accepting the Terms is duly authorised to bind that entity.

2.2 The Provider must provide all onboarding information reasonably required by BridgeX, including identity, contact, business registration, beneficial ownership, licence, qualification, payout, tax, insurance and category-specific information where applicable.

2.3 All information and documents must be genuine, accurate, current and complete. The Provider must notify BridgeX promptly of any material change, expiry, suspension, investigation, disciplinary measure, licence restriction, insolvency event, criminal allegation materially relevant to the service, or other fact that may affect eligibility or user safety.

3. Verification and Reverification

3.1 BridgeX may verify provider information itself or through reputable third-party verification services. The Provider authorises BridgeX to make reasonable enquiries and share the minimum necessary information with verification vendors and relevant registries in accordance with the Privacy Notice. 3.2 A Provider must not use a BridgeX verification badge, claim or logo except as displayed or expressly authorised by BridgeX. The Provider must not describe a BridgeX verification status as a guarantee, certification or endorsement beyond the scope stated in the Verification and KYC Policy.

3.3 BridgeX may require periodic reverification and may suspend or withdraw a verification status where information expires, becomes inaccurate, cannot be verified or creates a material risk.

4. Independent Contractor Status

4.1 The Provider is an independent contractor and is solely responsible for determining how the Provider Service is performed, subject to applicable law, the agreed service specification and legitimate platform safety standards.

4.2 Nothing in these Terms appoints the Provider as BridgeX’s employee, agent, partner, representative or franchisee. The Provider has no authority to bind BridgeX, incur obligations on behalf of BridgeX, make warranties for BridgeX or represent that BridgeX supplies the Provider Service.

4.3 The Provider is responsible for its own personnel, subcontractors, employment obligations, payroll, pensions, taxes, insurance, licences, tools, equipment and operating costs.

5. Provider Services and Professional Standards

5.1 The Provider shall perform each accepted service with reasonable care and skill, within the agreed scope and time, and in compliance with all applicable laws, professional rules, licences, technical standards, health and safety requirements and consumer protection obligations.

5.2 Where a category is regulated, the Provider must hold every licence, permit, registration or professional qualification required to lawfully advertise and perform the service. A Provider must not use BridgeX to offer a service outside the scope or territorial validity of its licence. 5.3 The Provider shall not discriminate unlawfully, harass a User, attend a location while intoxicated, send an unauthorised substitute, misuse access to a User’s home or premises, or engage in threatening, fraudulent or unsafe conduct. 5.4 The Provider shall promptly disclose any fact that makes it unsafe, unlawful or impracticable to perform an accepted Booking and shall take reasonable steps to minimise loss and inconvenience to the User.

6. Profiles, Service Descriptions and Advertising

6.1 The Provider is responsible for ensuring that profiles, photographs, service descriptions, prices, qualifications, turnaround times, claims and promotions are accurate, not misleading and capable of substantiation.

6.2 The Provider shall not publish false testimonials, fabricated before-and-after claims, misleading “best”, “guaranteed”, “licensed” or “certified” claims, or other promotional statements that cannot be objectively supported.

6.3 The Provider grants BridgeX a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display and promote Provider Content for operation and marketing of the marketplace, for so long as the Content is lawfully available and subject to applicable privacy rights.

7. Quotes, Pricing and Bookings

7.1 The Provider must disclose the full price or a clear basis for calculating the price before the User is committed, including taxes, call-out charges, materials, travel charges or other mandatory costs known at that stage.

7.2 A Provider shall not engage in bait pricing, undisclosed surcharges, discriminatory pricing prohibited by law, collusion, or any pricing practice that is manifestly unfair, unreasonable or unjust.

7.3 A material variation to scope or price must be explained and agreed by the User before the additional work is performed, except where immediate action is reasonably required to prevent imminent harm and the circumstances are documented.

7.4 The Provider must honour an accepted Booking unless cancellation is permitted under the Cancellation and Refund Policy or performance would be unlawful, unsafe or impossible for reasons beyond reasonable control.

8. Platform Fees, Payments and Payouts

8.1 BridgeX may charge the Provider a commission, subscription, lead, technology or other fee only where the amount or calculation method is disclosed to the Provider before it becomes payable. 8.2 Payments processed through the Platform may be handled by PAYSTACK The Provider authorises the applicable payment processor and BridgeX, to the extent permitted by the processor arrangement, to deduct properly disclosed BridgeX Fees, refunds, chargebacks, reversals, taxes or other agreed amounts before settlement.

8.3 The Provider is responsible for supplying accurate payout details and for all taxes arising from its Provider Services and earnings. BridgeX may issue transaction statements and may withhold or report amounts where required by law. 8.4 The Provider must not direct a User introduced through BridgeX to make an off-platform payment solely to avoid a properly disclosed BridgeX Fee. This does not prevent the parties from agreeing lawful future work outside BridgeX where no fee-avoidance restriction has been clearly disclosed and accepted.

9. Cancellations, Refunds, Chargebacks and Disputes

9.1 The Provider shall comply with the Cancellation and Refund Policy and any booking-specific cancellation terms disclosed before acceptance. A Provider must not impose a blanket “no refund” condition that conflicts with consumer rights. 9.2 Where a refund is required because the Provider cancels, fails to perform, materially misdescribes the service or supplies a defective service, the Provider authorises BridgeX and the payment processor to process the applicable refund or adjustment from available or future settlements, subject to fair notice and evidence.

9.3 The Provider must respond promptly to chargeback or payment dispute requests and provide requested evidence. BridgeX may temporarily reserve disputed amounts where reasonably necessary under the payment processor rules or to protect Users from fraud.

10. Customer Data, Confidentiality and Privacy

10.1 The Provider may use User personal data obtained through BridgeX only to communicate about, perform and administer the relevant Provider Service, comply with law, resolve complaints and exercise legitimate legal rights. The Provider must not sell, scrape, enrich, profile or use that data for unrelated marketing without a separate lawful basis. 10.2 The Provider shall maintain reasonable security for User information, restrict access to persons who need it for the service, and promptly notify BridgeX of any suspected loss, unauthorised access, disclosure or misuse of data received through the Platform.

10.3 Each party acts as an independent data controller for personal data it determines to process for its own purposes, unless a specific Data Processing Agreement states otherwise.

11. Insurance and Risk Management

11.1 The Provider shall maintain insurance required by law and any category-specific insurance standard published by BridgeX, including professional indemnity, public liability, motor, employer or other cover where appropriate to the service risk.

11.2 BridgeX may request evidence of cover and may restrict a high-risk service category until satisfactory evidence is supplied. Verification of insurance is not a guarantee that a claim will be accepted by the insurer.

12. Personnel and Subcontracting

12.1 The Provider remains responsible for every person used to perform a Booking. Where BridgeX has verified a named individual, the Provider shall not substitute another person without the User’s informed agreement and any verification required by BridgeX. 12.2 The Provider shall ensure that employees and subcontractors comply with obligations concerning safety, confidentiality, data protection, conduct, licences and platform rules.

13. Reviews, Ratings and Platform Integrity

13.1 The Provider must not create or procure fake reviews, offer compensation conditional on a positive review, threaten or penalise a User for a genuine review, review its own services through another account, or manipulate ratings. 13.2 The Provider may report a review that breaches the Community and Review Guidelines. Mere disagreement with a negative opinion is not sufficient ground for removal where the review is genuine and lawful.

14. Complaints, Investigations and Cooperation

14.1 The Provider shall cooperate in good faith with reasonable BridgeX investigations, respond to complaint requests within [2 BUSINESS DAYS] or any shorter period justified by safety, fraud or regulatory urgency, and preserve relevant records.

14.2 BridgeX may share complaint information with the User, a payment processor, insurer, regulator or law enforcement authority where lawful and reasonably necessary. BridgeX will handle personal data in accordance with the Privacy Notice and applicable law. 14.3 BridgeX may facilitate settlement without admitting liability for the underlying Provider Service. 16.2 The BridgeX brand, software, database, interface and proprietary materials remain the property of BridgeX or its licensors. The Provider receives only a limited licence to use them for authorised participation in the marketplace.

17. Suspension, Removal and Termination

17.1 BridgeX may suspend a listing, verification status, payout or account where reasonably necessary to investigate safety, fraud, non-payment, licence expiry, material complaint patterns, unlawful conduct, policy breach or a regulatory request.

17.2 BridgeX may terminate participation for a material or repeated breach, serious safety risk, fraud, loss of required licence, insolvency affecting performance, abuse of Users or the Platform, or conduct reasonably likely to undermine marketplace integrity. 17.3 Where circumstances permit, BridgeX will give reasons and an opportunity to request review. Immediate action may be taken where prior notice would create a material safety, fraud, evidence or legal risk.

18. Provider Warranties and Indemnity

18.1 The Provider warrants that it will perform Provider Services lawfully and professionally, maintain required licences, provide accurate information, respect User rights, comply with tax and employment obligations, and not infringe third-party rights.

18.2 The Provider shall indemnify BridgeX and its officers against third-party claims, regulatory liabilities and reasonable losses arising from the Provider Service, the Provider’s personnel or subcontractors, false or misleading representations, unlawful conduct, infringement, privacy breach, tax or employment liability, or material breach of these Terms, except to the extent caused by BridgeX’s own breach, negligence or unlawful conduct.

19. BridgeX Liability

19.1 BridgeX is responsible for the Platform services it agrees to provide but is not the guarantor of demand, earnings, User conduct or the outcome of a Provider Service. BridgeX does not guarantee any minimum number of leads, Bookings, revenue or rating.

19.2 To the fullest extent permitted by law, BridgeX shall not be liable for indirect or consequential loss, loss of anticipated profit or loss arising from a Provider’s failure to maintain its own records, insurance, licences or security. If mediation is not concluded within 30 days after appointment of the mediator, either party may refer the dispute to arbitration by one arbitrator under the Arbitration and Mediation Act 2023. The seat shall be Lagos, Nigeria, and the language shall be English, unless the parties agree otherwise.

21.3 Nothing prevents either party from seeking urgent interim or preservatory relief from a court of competent jurisdiction, or from complying with a regulatory or law enforcement process.
